1. Agreement to Terms

These Terms govern your access to and use of the Service. They apply to every visitor, user, and other party who accesses or uses the Service. By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy at we-link.ai/privacy.

If you have accepted the We-Link API Service Agreement at signup, that agreement is the binding contract governing your use of the API Service and controls in the event of any conflict with these Terms.

2. Description of Service

We-Link API provides a LinkedIn automation API that enables businesses to integrate LinkedIn outreach capabilities into their platforms. The Service includes:

• API access for LinkedIn automation functionality
• An administrative dashboard for monitoring and management
• Documentation and implementation support
• Security features, including dedicated connection handling
• User-controlled activity limits and timing controls

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Organizations using the Service represent that the individual accepting these Terms has the authority to bind the organization to these Terms.

4. Account registration and security

4.1 Account creation

To access the Service, you must create an account and provide accurate, current, and complete information. You agree to update your information promptly if it changes.

4.2 Account security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 LinkedIn connection

By connecting a LinkedIn account and providing the credentials or access tokens needed to do so, you authorize us to act on LinkedIn on your behalf to provide the Service. You are solely responsible for ensuring your use of the Service complies with LinkedIn's terms of service and policies. Our handling of these credentials is described in our Privacy Policy.

5. Acceptable use policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service in any manner that violates LinkedIn's terms of service or policies
• Engage in spamming, harassment, or other abusive behavior
• Attempt to circumvent usage limits or security measures
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service to transmit malware, viruses, or harmful code
• Interfere with or disrupt the Service or servers
• Access or use another user's account without authorization
• Collect or harvest data from the Service using automated means without permission
• Use the Service for any fraudulent, deceptive, or illegal purpose

6. API usage and limits

6.1 API calls

Your use of the API is subject to the call volume and validity period of the plan you purchase, as described on our pricing page at we-link.ai/linkedin-api-pricing. Unused calls expire at the end of the plan's validity period.

6.2 Rate limits

We may impose rate limits to ensure Service stability and performance. Excessive API usage may result in throttling or temporary suspension.

6.3 Fair use

You agree to use the API in a manner consistent with fair use principles and not to place unreasonable burden on our infrastructure.

7. Pricing and payment

7.1 Fees

Pricing is usage-based and sold in API-call plans as described on our pricing page at we-link.ai/linkedin-api-pricing. Fees, included call volumes, per-call rates, and validity periods vary by plan.

7.2 Payment terms

• Fees are charged in advance for the plan or top-up you purchase
• All fees are non-refundable except as required by law
• You are responsible for all taxes associated with your purchase
• We reserve the right to modify pricing with 30 days' notice

7.3 Billing

You authorize us to charge your designated payment method for all fees. If payment fails, we may suspend or terminate your access to the Service.

8. Intellectual property rights

8.1 Our property

The Service, including all software, content, trademarks, and materials, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

8.2 Limited license

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

8.3 Your content

You retain ownership of any data, content, or materials you submit through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive license to use, store, and process Your Content solely to provide the Service.

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

9. Third-party services

9.1 LinkedIn

The Service integrates with LinkedIn. Your use of LinkedIn through our Service is subject to LinkedIn's terms of service. We are not responsible for LinkedIn's actions, policies, or any changes to LinkedIn's platform that may affect the Service.

9.2 Other third parties

The Service may integrate with or link to third-party services. We are not responsible for third-party services and do not endorse or guarantee their content, products, or services.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• ANY ERRORS OR DEFECTS WILL BE CORRECTED
• THE SERVICE WILL BE COMPATIBLE WITH ALL SYSTEMS OR PLATFORMS

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless We-Connect and its We-Link API service, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including LinkedIn's terms
• Your Content or any data you submit through the Service
• Your violation of applicable laws or regulations

13. LinkedIn account responsibility

YOU ACKNOWLEDGE AND AGREE THAT:

• YOU ARE SOLELY RESPONSIBLE FOR YOUR LINKEDIN ACCOUNT AND COMPLIANCE WITH LINKEDIN'S TERMS
• WE ARE NOT LIABLE FOR ANY RESTRICTIONS, SUSPENSIONS, OR TERMINATIONS OF YOUR LINKEDIN ACCOUNT
• LINKEDIN MAY CHANGE ITS POLICIES OR PLATFORM AT ANY TIME, WHICH MAY AFFECT THE SERVICE
• YOU USE LINKEDIN AUTOMATION TOOLS AT YOUR OWN RISK
• WE RECOMMEND USING USER-CONTROLLED ACTIVITY LIMITS AND FOLLOWING LINKEDIN BEST PRACTICES

14. Term and termination

14.1 Term

These Terms remain in effect while you use the Service or maintain an account.

14.2 Termination by you

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of prepaid fees.

14.3 Termination by us

We may suspend or terminate your access to the Service immediately, without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your use poses a security risk
• We are required to do so by law
• We discontinue the Service

14.4 Effect of termination

Upon termination:

• Your right to access the Service immediately ceases
• We may delete your account and data after a reasonable period, as described in our Privacy Policy
• Sections that by their nature should survive termination shall survive, including intellectual property, disclaimers, liability limitations, and dispute resolution provisions

15. Modifications to Service and Terms

15.1 Service changes

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

15.2 Terms changes

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

16. Privacy

Your use of the Service is subject to our Privacy Policy at we-link.ai/privacy, which is incorporated into these Terms by reference. Where we process personal data on your behalf, our Data Processing Agreement at we-link.ai/dpa also applies.

17. Dispute resolution

17.1 Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17.2 Jurisdiction

Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Delaware, and you consent to the personal jurisdiction of those courts.

18. General provisions

18.1 Entire agreement

These Terms, together with our Privacy Policy, govern your use of our website and the Service. If you have accepted the We-Link API Service Agreement at signup, that agreement, together with the Privacy Policy and Data Processing Agreement, is the entire agreement between you and us regarding the API Service and supersedes these Terms to the extent of any conflict.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.3 No waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

18.5 Force majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.

18.6 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to [email protected].

18.7 Company information

We-Link API is a service owned and operated by We-Connect Systems LLC. All references to "we," "us," "our," or "Company" in these Terms refer to We-Connect Systems LLC and its We-Link API service.

18.8 Export compliance

You agree to comply with all applicable export and import control laws and regulations.
